IF YOU DO NOT AGREE WITH ANY PORTION OF THIS AGREEMENT, OR DO NOT INTEND TO USE THE SERVICES WHILE ABIDING BY THESE TERMS, YOU MAY NOT ACCESS OUR SERVICES AND SHOULD LEAVE OUR SITE BY CLOSING THE BROWSER WINDOW.
We reserve our right to change these terms when we deem it necessary. Any revised terms will supersede prior version. Updates to these terms will be posted to our Site. Those updates, unless otherwise noted, will be effective the moment of their posting. By continuing to use our services after such a change, you agree to the revised agreement. You acknowledge your commitment to reviewing these terms periodically to be aware of any changes.

2. Who Does This Agreement Apply To?
"We", "Us", "Our", "Just Text It", or "Media Text USA" will refer to Media Text USA for the purposes of this document. "You", "Your", "Customer", and "User" will refer to you personally. If you are accessing our Services on behalf of an organization that lacks a contract governing your actions with Media Text USA, then you are accepting these terms on behalf of said organization and representing that you have the authority to bind the organization to these terms. In this case "You", "Your", "Customer", and "User" will refer to said organization. If you are accessing these services on behalf of an organization that does have a contract that governs your access with Media Text USA, then this agreement governs affiliates. In this Agreement, an affiliate is an entity related to another party be ownership, contract, is controlled by a party, controls a party. Any party to this agreement is responsible for the activitie of their affiliates in connection with this Agreement.
3. Your Access and Use of Our Services Will Comply With The Law
You agree that you will use Our services while observing all apllicable state and federal laws, regulations, and guidlines. We reserve the right to audit your communications to ensure that all applicable rules are being followed.
You respresent that your communications abide by industry and federal regulations concerning the consent of subscribers. This includes, requiring an Opt-In before you communicate with an individual, clearly providing Opt-Out instructions in response to an Opt-In and periodically in outgoing communications (no less frequent than once a month). will not commence communications with anyone that has requested to no longer be contacted, regaurdless of Opt-In or Opt-Out status.
You also agree that you will take all actions necessary to learn and comply with applicable laws, regulations and industry guidelines. Your ignorance of a rule is not release from that rule.

You will not trasnmit material that infringes on third party intellectual property rights, such as: trademarks, copyrights, and right of publicity.
You will not trasnmit viruses, trojan horses, worms, time bombs, cancel-bots, or any other neferious or misleading scripts.
You will interfere will connectivity of the service, third-parties, or networks. And you will abide by all rules and regulations concerning those networks.
4. Indemnification
You agree and represent that you have all the necessary rights and authority to agree to this Agreement and that agreeing to all of hese terms will not place you in breach of any other obligation or contract. You also represnt that you will at all times maintain full compliance with all Applicable laws, regulations, and guidlines in connection to your use of these Services.
You agree to hold Media Text USA and it's affiliates; as well as, their respective officers, directors, shareholders, employees, agents, service providers, contractors, and content providers harmless and indemnify them from and against any and all losses, claims, obligations, liabilities, damages, settlements, costs, and expenses arising from or related to any claim, suit, action, proceeding, third-party discovery demand, governmental investigation, or enforcement action based upon or related to your activities under this Agreement, or acts or omissions of yours, an account you control, or a computer you control, of the Media Text USA services. This applies whether the relevent action is actual, implied, or threatened. You agree that you will hold ulimate liability in connection to any breach of local, state, federal, or industry laws, regulations, or guidlines.
